Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the SKU Republic website located at skurepublic.com and the SKU Republic print-on-demand automation platform, including all features, tools, integrations, APIs, and interfaces (collectively, the "Service"), operated by SKU Republic ("SKU Republic," "we," "us," or "our").

By creating an account, joining the waitlist, or otherwise accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not access or use the Service.

If you are accessing or using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, "you" and "your" refer to that entity.

We reserve the right to update or modify these Terms at any time. We will notify you of material changes as described in Section 17 of these Terms. Your continued use of the Service after any changes take effect constitutes your acceptance of the revised Terms.

2. Eligibility

To use the Service, you must be at least 16 years of age. If you are between 16 and 18 years of age, you represent that you have your parent's or legal guardian's permission to use the Service and that they have read and agreed to these Terms on your behalf.

You must have the legal capacity to enter into a binding contract in your jurisdiction. You represent and warrant that your registration and use of the Service does not violate any applicable law or regulation, including but not limited to export controls, sanctions, or anti-money laundering regulations.

You may not use the Service if you are located in a jurisdiction where the use of the Service is prohibited by applicable law, or if you are on any government list of prohibited or restricted parties.

3. Account Registration and Security

3.1 Accurate Information

When you register for an account, you must provide accurate, current, and complete information. You agree to promptly update your account information to keep it accurate, current, and complete. We may suspend or terminate your account if we discover that any information you have provided is inaccurate, outdated, or incomplete.

3.2 Account Credentials

You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to notify us immediately at hello@skurepublic.com if you suspect any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your credentials.

3.3 One Account Per User

Each individual may maintain only one personal account. You may not create multiple accounts or allow others to use your account unless you are an authorized representative of a business entity accessing the Service on its behalf.

3.4 Account Transfers

You may not transfer your account or your rights under these Terms to any other person or entity without our prior written consent.

4. Beta Program

The Service is currently in beta. During the beta period, access to the Service is provided free of charge. We make no commitment to continue providing the Service free of charge after the beta period ends. We will provide reasonable advance notice before transitioning from free to paid access, and at that time you will have the opportunity to subscribe to a paid plan or discontinue use.

Beta software may be unstable, incomplete, or contain bugs. The Service is provided "as is" during the beta period without any warranty of reliability, uptime, or data integrity beyond our reasonable efforts. We value your feedback and encourage you to report issues to hello@skurepublic.com.

We reserve the right to modify, limit, or discontinue any aspect of the beta Service at any time without notice. Participation in the beta program does not create any obligation on our part to provide any particular feature or level of service after the beta period.

5. Description of Service

SKU Republic is a print-on-demand automation platform that connects to your e-commerce storefronts and social commerce accounts, uses AI-powered tools to generate listing content, and publishes product listings on your behalf. The Service includes:

• Bulk product listing creation and management tools
• AI-assisted generation of product titles, descriptions, tags, and other listing content
• OAuth-based integrations with supported e-commerce and social commerce platforms
• Publishing workflows for distributing listings across connected storefronts
• Account management, settings, and configuration tools

The Service is intended for use by sellers operating print-on-demand e-commerce businesses. It is not intended for use as a data scraping tool, competitive intelligence platform, or for any purpose other than managing and publishing your own product listings.

6. Acceptable Use

6.1 Permitted Uses

You may use the Service to manage and publish your own legitimate print-on-demand product listings to storefronts and platforms you own or operate, in accordance with these Terms and the terms of service of those platforms.

6.2 Prohibited Uses

You agree not to use the Service to:

• Publish listings that infringe the intellectual property rights, privacy rights, or other rights of any third party
• Publish listings that are deceptive, fraudulent, misleading, or that violate any applicable consumer protection law
• Publish listings for products that are illegal, hazardous, or prohibited by the terms of service of the destination platform
• Publish listings that constitute spam, unsolicited bulk communications, or artificially inflated marketplace activity
• Scrape, harvest, or extract data from any platform through the Service in a manner that violates that platform's terms of service
• Use the Service to gather competitive intelligence about other sellers or platforms
• Resell, sublicense, or distribute access to the Service to third parties without our prior written consent
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service
• Circumvent or disable any security features or access controls of the Service or any connected platform
• Use the Service in a manner that imposes an unreasonable or disproportionately large load on our infrastructure
• Introduce malware, viruses, or any other harmful code into the Service
• Use the Service for any unlawful purpose or in violation of any applicable law or regulation

6.3 Platform Terms Compliance

When you use the Service to publish content to third-party platforms, you remain solely responsible for ensuring that your use of those platforms complies with their terms of service, community guidelines, seller policies, and applicable laws. SKU Republic operates as a tool to help you execute publishing actions; we do not review or approve the content you choose to publish for compliance with destination platform policies.

7. Platform Integrations and Connected Accounts

7.1 Your Authorization

By connecting a third-party platform account to SKU Republic, you represent and warrant that: (a) you are the owner of or an authorized representative of the connected account; (b) you have the right to grant SKU Republic the OAuth permissions you authorize; (c) your grant of access to SKU Republic does not violate the terms of service of the connected platform; and (d) you will not use SKU Republic to take actions on connected platforms that you are not personally authorized to take.

7.2 Platform Limitations

Our integrations with third-party platforms are subject to those platforms' APIs, rate limits, policies, and availability. We do not guarantee uninterrupted access to any integration. Platforms may modify or revoke API access at any time, which may affect the functionality of the Service. We will make commercially reasonable efforts to maintain integrations but are not liable for service disruptions caused by third-party platform changes.

7.3 Platform Data

Data received from connected platforms through OAuth integrations is used solely to provide the Service. We do not sell, share, or otherwise exploit platform data for any purpose unrelated to the Service. Your use of data accessed through platform integrations through the Service must comply with the data use policies of each integrated platform. See our Privacy Policy for full details on how platform data is handled.

7.4 Responsibility for Actions Taken

All publishing actions executed through the Service are taken on your instruction and on your behalf. You are responsible for reviewing and approving all listing content before it is published. You are responsible for any listings published to your connected storefronts through the Service, including their accuracy, legality, and compliance with destination platform policies.

8. AI-Generated Content

8.1 Nature of AI Content

The Service uses AI-powered tools to generate draft product titles, descriptions, tags, and other listing content based on product information you provide. AI-generated content is probabilistic and may contain inaccuracies, errors, inappropriate phrasing, or content that does not accurately represent your product. You are solely responsible for reviewing, editing, and approving all AI-generated content before it is published.

8.2 No Warranty on AI Content

We make no warranty, express or implied, that AI-generated content is accurate, complete, appropriate, legally compliant, or fit for any particular purpose. We do not warrant that AI-generated content will comply with the policies of any destination platform. You use AI-generated content at your own risk and bear full responsibility for any consequences arising from its publication.

8.3 Intellectual Property of Generated Content

To the extent that AI-generated listing content is protectable under applicable intellectual property law, any rights in that content are assigned to you upon your review and approval. We retain no ownership interest in listing content generated at your instruction and published to your storefronts.

8.4 Prohibited Content

You may not use the AI content generation features to create content that is defamatory, discriminatory, obscene, misleading, fraudulent, or that infringes the intellectual property or other rights of any person. We reserve the right to refuse service or suspend access to AI generation features if we have reason to believe they are being used to generate prohibited content.

9. Intellectual Property

9.1 Your Content

You retain all intellectual property rights in the content, designs, images, product data, and other materials you upload to or create within the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive, royalty-free license to access, process, store, and transmit Your Content solely as necessary to provide the Service to you. This license terminates when you delete the relevant content or close your account.

9.2 SKU Republic Intellectual Property

The Service, including its software, algorithms, user interface, visual design, databases, documentation, and all other components, is owned by SKU Republic and protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Service or in SKU Republic's intellectual property, except for the limited right to use the Service in accordance with these Terms.

9.3 Feedback

If you submit feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a worldwide, royalty-free, irrevocable, perpetual license to use that Feedback for any purpose, including improving and developing the Service, without compensation or attribution to you.

9.4 Copyright Complaints

We respect intellectual property rights. If you believe that content published through the Service infringes your copyright, please contact us at hello@skurepublic.com with a description of the allegedly infringing material, the location of the material, and your contact information.

10. Subscriptions and Payment

10.1 Beta Period

During the beta period, access to the Service is free of charge. No payment is required and no payment information is collected during the beta period unless we introduce optional paid features.

10.2 Paid Plans

When the Service transitions out of beta, paid subscription plans may be offered. At that time, you will be given the opportunity to review and accept the applicable pricing and subscription terms before any payment is required. Subscription fees will be billed in advance on a recurring basis (monthly or annual, as elected) through our third-party payment processor.

10.3 Billing and Taxes

All fees are stated in United States dollars unless otherwise indicated. You are responsible for all taxes, levies, or duties imposed by taxing authorities in connection with your use of the Service. We will charge taxes where required by applicable law.

10.4 Free Trials

We may offer free trial periods for paid plans. At the end of a free trial, your chosen plan will automatically begin billing unless you cancel before the trial period ends. We will notify you before the trial ends.

10.5 Refunds

Except as required by applicable law or expressly stated in a specific offer, subscription fees are non-refundable. If you cancel a subscription, you will retain access to paid features through the end of the current billing period.

10.6 Price Changes

We reserve the right to change our pricing at any time. We will provide at least 30 days' advance notice of price changes to existing subscribers. Your continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.

11. Cancellation and Termination

11.1 Your Right to Cancel

You may cancel your account at any time from within your account settings or by contacting us at hello@skurepublic.com. Cancellation takes effect at the end of the current billing period for paid plans, or immediately for beta accounts. Upon cancellation, you will lose access to your account and all data stored within it, subject to the retention and deletion periods described in our Privacy Policy.

11.2 Our Right to Terminate

We reserve the right to suspend or terminate your account at any time, with or without notice, if: (a) you violate these Terms; (b) your use of the Service poses a legal, security, or reputational risk to SKU Republic or other users; (c) you fail to pay any applicable fees; or (d) we are required to do so by applicable law.

11.3 Effect of Termination

Upon termination, your right to access and use the Service immediately ceases. Sections of these Terms that by their nature should survive termination, including Sections 9 (Intellectual Property), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), and 15 (Governing Law), will survive termination.

11.4 Data Following Termination

Following account termination or cancellation, we will handle your data in accordance with our Privacy Policy. You are responsible for exporting or backing up any data you wish to retain before cancelling your account, as we cannot guarantee the availability of your data after termination.

12. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SKU REPUBLIC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Any warranty that the Service will be uninterrupted, timely, secure, or error-free
• Any warranty that results obtained from the use of the Service will be accurate, complete, or reliable
• Any warranty regarding the accuracy, reliability, or quality of AI-generated content
• Any warranty that defects in the Service will be corrected
• Any warranty regarding the continued availability of any third-party platform integration

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. In those jurisdictions, our warranties will be limited to the minimum scope permitted by applicable law.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SKU REPUBLIC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Damages resulting from the loss of listings, products, or store content
• Damages resulting from platform de-listings, account suspensions, or policy violations on connected platforms
• Damages resulting from inaccuracies in AI-generated content
• Damages resulting from unauthorized access to or alteration of your account or data

This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if SKU Republic has been advised of the possibility of such damages.

IN NO EVENT WILL SKU REPUBLIC'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO SKU REPUBLIC IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100).

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so some of the above limitations may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless SKU Republic and its affiliates, officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the Service in violation of these Terms
• Your Content, including any claim that Your Content infringes the rights of any third party
• Listings published through your account, including any claim by a consumer, marketplace, or regulator arising from those listings
• Your violation of any applicable law or regulation
• Your violation of the terms of service of any connected platform
• Any misrepresentation you make in connection with your registration or use of the Service

We reserve the right, at our own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. If you are located outside the United States, mandatory consumer protection laws in your jurisdiction may apply and are not affected by this choice of law.

15.2 Informal Resolution

Before initiating any formal legal proceeding, you agree to attempt to resolve any dispute informally by contacting us at hello@skurepublic.com with a written description of the dispute. We will attempt in good faith to resolve the dispute within 30 days of receiving your notice.

15.3 Binding Arbitration

If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the Service (excluding claims for injunctive or other equitable relief) will be resolved by binding arbitration administered by a recognized arbitration provider under its consumer arbitration rules. The arbitration will be conducted in English. You and SKU Republic each waive the right to a trial by jury or to participate in a class action lawsuit or class-wide arbitration. Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction where necessary to protect confidential information or intellectual property rights.

15.4 EU and UK Users

If you are a consumer located in the European Union or the United Kingdom, mandatory local consumer protection laws may give you rights that cannot be waived by contract. Nothing in these Terms limits any rights you have under applicable EU or UK consumer protection legislation. You may also have the right to use an online dispute resolution platform maintained by the European Commission.

16. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect information about you. By using the Service, you consent to the data practices described in our Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.

17. Changes to These Terms

We may update these Terms from time to time as the Service evolves, as new features are introduced, or as applicable law requires. When we make material changes, we will notify you by email to the address associated with your account and by posting a notice within the Service at least 14 days before the changes take effect. For changes required by law or to address security issues, we may provide shorter notice.

Material changes include modifications that significantly affect your rights, the scope of the license granted, the limitations on our liability, or the dispute resolution process. Changes that clarify existing provisions, correct errors, or reflect minor service updates may be made without advance notice.

If you do not agree to the updated Terms, you must stop using the Service before the effective date of the change and cancel your account. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific features or promotions you use, constitute the entire agreement between you and SKU Republic with respect to the Service and supersede all prior agreements, representations, and understandings.

18.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

18.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. A waiver of any specific breach does not constitute a waiver of any future breach.

18.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law, and will notify you of any such assignment.

18.5 Force Majeure

Neither party will be liable for any failure or delay in performance caused by circumstances beyond their reasonable control, including natural disasters, government actions, power outages, internet disruptions, or third-party platform outages.

18.6 Notices

Notices to you will be delivered to the email address associated with your account. Notices to us must be sent to hello@skurepublic.com or to the mailing address published on our website.

18.7 Language

These Terms are written in English. If these Terms are translated into another language, the English version controls in the event of any conflict.
